According to the new Law of Georgia "On Entrepreneurs", enacted on 01.01.2022, a decision of the general meeting may NOT be rescinded by a partner/shareholder who did not attend the general meeting without a good cause (Section 93.2).

In other words, if a general meeting is going to make a decision detrimental to a partner and such a partner decides against participating in the general meeting, he/she shall have no right to question in the courts of law the decision made in his/her absence.

I have ground to believe that this particular legislative innovation is completely wrong
